PREDICTIVE EQUATIONS INCORPORATED CONTENT LICENSE AGREEMENT LAST UPDATED: November 2024 This Content License Agreement (""Agreement"") is a legal agreement between you (""Licensee"") and Predictive Equations Incorporated (""Predictive AI"") that explains how you may use licensed content from Predictive AI, including images, models, and other digital assets (""Content""). By downloading, purchasing, or using Content from Predictive AI, you accept and agree to the terms of this Agreement. 1. Types of Licenses Predictive AI offers three license types for Content: Standard License, Extended License, and Exclusive License. Each license is described below. Licensing fees may vary based on the license type, content specifications, and intended use. A. Standard License Scope: Allows for non-commercial use only or limited commercial use, such as in personal projects, social media posts, or internal presentations. Duration: Perpetual (no expiration). Geographic Scope: Worldwide. Media: Use across digital media, including online websites and social media. Non-Exclusive: Predictive AI may license the same Content to other customers. Prohibited Uses: No commercial distribution, resale, or reproduction in products for sale. B. Extended License Scope: Permits broader commercial uses, including advertising, marketing campaigns, and use in print and online media. Duration: Perpetual. Geographic Scope: Worldwide. Media: Use in print, digital, and broadcast media. Non-Exclusive: Predictive AI may license the same Content to other customers. Prohibited Uses: No resale of Content as standalone files or use in products where Content is the primary value. C. Exclusive License Scope: Grants exclusive commercial use of Content for a specific project, campaign, or time frame. Duration: Limited, as specified in the order or invoice. Geographic Scope: Specified at purchase (e.g., national, regional). Media: Use across all media types as specified in the license terms. Exclusive Rights: Licensee receives exclusive rights for the term of the license; Predictive AI will not license the Content to others during the exclusive period. Prohibited Uses: Content may not be modified to imply false authorship or used outside the agreed project/campaign. 2. License Grant Subject to the terms and restrictions of this Agreement, Predictive AI grants Licensee a non-transferable, non-sublicensable license to use Content as permitted by the selected license type. 3. Permitted Uses Standard and Extended Licenses allow: Display on websites, social media, blogs, and internal business materials. Use in presentations, marketing collateral, and digital advertising (Extended License only). Exclusive License allows additional commercial flexibility within the scope of exclusivity. 4. Restricted Uses Unless explicitly permitted by Predictive AI, the following uses are prohibited under all license types: Unlawful Use: Content may not be used in a defamatory, obscene, or unlawful manner. Standalone File Distribution: Content cannot be used in a way that allows third parties to download or redistribute the Content as a standalone file. Sensitive Use Without Disclaimer: Content depicting individuals cannot be used in connection with unflattering or controversial subjects without a disclaimer, indicating the person is a model. False Attribution: Licensee may not misrepresent the origin or authorship of Content. No ""On-Demand"" or Print-on-Demand Products: Content may not be incorporated into products offered for sale where a third party customizes or selects Content. No Use in Trademarks or Logos: Content may not be used as a distinctive part of a trademark, logo, or brand. 5. Who May Use the Licensed Content Employee or Client Use: Licensee’s employees or clients may use the Content if directly associated with the project for which the Content was licensed. Such parties must adhere to the terms of this Agreement. Subcontractors: Licensee may grant access to subcontractors (e.g., graphic designers) only for the purpose of completing work related to the licensed project. Subcontractors may not use the Content for any other purpose. 6. Intellectual Property Rights All rights, title, and interest in and to the Content are retained by Predictive AI or its content providers. Licensee receives only the rights explicitly granted in this Agreement; all other rights are reserved. 7. Fees and Renewal Payment Terms: License fees are due at the time of purchase. Renewal: Exclusive licenses may be renewed upon expiration, subject to new terms. 8. Termination Predictive AI may terminate this Agreement if Licensee breaches any term. Upon termination, Licensee must cease using the Content, destroy all copies, and confirm compliance in writing upon request. 9. Disclaimers and Limitation of Liability No Warranties: Content is provided ""as is"" without warranties. Predictive AI disclaims all implied warranties, including merchantability and fitness for a particular purpose. Limitation of Liability: Predictive AI shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use Content. 10. Governing Law and Dispute Resolution Governing Law: This Agreement shall be governed by the laws of [Your Jurisdiction].
